Before using the Rovernight Network website (“Site”) or setting up your account or membership with Rovernight Network (herein referred to as “we”, “us”, or “Rovernight Network”), please read the following Terms of Use (“Terms”) carefully. These Terms govern your access to and use of the Site and services owned and/or operated by Rovernight Network (collectively, the “Service”). Your access to and use of the Service are expressly conditioned on your acceptance of and compliance with these Terms. Your use of the Service constitutes your agreement to these Terms. By using the Services, you agree that you have read, understand and agree to be bound by theses Terms for all past, present and future uses of the Services. If you do not agree to these Terms, please do not use the Service. Note that any violation of these Terms may result in termination of your ability to access and use the Service.
By accessing and using the Service, you represent and warrant that you (a) have not previously been suspended by Rovernight Network or removed from the Service; (b) are not a direct competitor of Rovernight Network; (c) do not have more than one Rovernight Network account at any given time; and (d) that you have full power and authority to enter into these Terms and in doing so will not violate any other agreement to which you are a party, please do not attempt to use, or set up an account to use, the Services.
We reserve the right at any time to change all or any part of these Terms; change the Service, including by eliminating or discontinuing any content on or feature of the Service; and change any fees or charges for use of the Service. Any changes we make will be effective immediately upon notice, which we may provide by any means including, without limitation, posting on the Service or by electronic mail. Your continued use of the Service after such notice will be deemed acceptance of such changes. You can determine when these Terms were last revised by referring to the “LAST UPDATED” legend at the top of these Terms. Be sure to return to this page periodically to ensure familiarity with the most current version of these Terms. Upon our request, you agree to sign a non-electronic version of these Terms. You agree that we shall not be liable to you or to any third party for any elimination or discontinuation of any content on or feature of the Service; or any change in any fees or charges for use of the Service.
1. Use of the Service. We grant you permission to use the Service subject to the restrictions in these Terms.
2. Member Accounts. When such information is requested by the Rovernight Network (whether by questionnaires, surveys, registration forms or other informational requests), you agree to (a) provide accurate, current and complete information about yourself (including your email address), and (b) maintain and update your information (including your email address) to keep it accurate, current and complete. You acknowledge that, if any information provided by you is untrue, inaccurate, not current or incomplete, we reserve the right to terminate your access to and use of the Service. Our use and disclosure of any such information that you provide is governed by our Privacy Policy, the terms of which are incorporated into, and form a part of, these Terms.
As part of the account set-up and registration process, you may be asked to select a username and password. We may refuse to grant you a username for any reason in our sole discretion, including in the event that we determine that such user name impersonates someone else, is illegal, vulgar, or otherwise offensive, or is protected by trademark or other proprietary rights law, or otherwise may cause confusion.
You are responsible for maintaining the confidentiality of your account password. You are also responsible for all activities that occur in connection with your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to close your account at any time for any or no reason. There are two types of accounts:
a. A “Personal Account” is an account for your personal, non-commercial use only. By creating a Personal Account, you represent and warrant that you are not directly or indirectly involved or affiliated (in any way) in the business of providing dog kenneling, boarding, sitting, or related services, and that you will not use this Service for any commercial purposes. Personal Accounts may contain varying membership levels with varying access to certain features of the Service.
b. A “Business Account” is an account to be used solely for the purpose of representing your business on the Service. In creating or updating a Business Account, you must be an authorized representative of the business in question.
3. Membership Levels; Membership Fees. Rovernight Network may offer several membership levels for both Personal and Business Accounts. Access to certain features of the Service will vary by membership level. Please visit our membership page for an up-to-date description of the varying membership features and fees. Currently Rovernight Network membership is free. Rovernight Network may change the features and fees associated with these membership levels at any time and in its sole discretion. Subject to the completion of any applicable agreed upon membership term, if you are unhappy with any subscription fee changes you may terminate your membership by writing to our address or via the contact us form.
4. Membership Status. You become a member of Rovernight Network (“Member”) when you submit your registration (and payment if applicable) to Rovernight Network.
5. Membership Termination. You may terminate your membership with Rovernight Network by sending us an email at close.account@rovernightnetwork.com with “End Membership Request” in the subject line and providing your user name and contact data within the email. We will facilitate your request in a reasonable timeframe. Your membership may be terminated at any time, and for any reason, by Rovernight Network in its sole discretion.
6. Content. “Content” means text, images, photos, audio, video, and all other forms of data or communication. “Your Content” means Content that you submit or transmit to or through the Service, such as ratings, reviews, compliments, invitations, and information that you display as part of your account profile. “User Content” means Content that users submit or transmit to or through the Service. “Rovernight Network Content” means Content that we create and make available on the Service. “Third Party Content” means Content that is made available on the Service by parties other than Rovernight Network or its users, such as data providers who license data to Rovernight Network for use on the Service. “Content” means all of the Content that is made available on the Service, including Your Content, User Content, Third Party Content, and Rovernight Network Content. In accessing or using the Service, you may be exposed to User or Third Party Content that is offensive, indecent, inaccurate, objectionable, or otherwise inappropriate. Rovernight Network does not endorse such Content, vouch for the accuracy of such Content, or assume in any way a duty to review or evaluate such Content. You therefore access and use the Service and its Content at your own risk.
7. Restrictions on Use. You agree that you will not, and will not assist or enable others to:
a. Disobey the Rovernight Network Credo / Oath;
b. Endanger or harm in any way another Member, Member’s pet, or related individual;
c. Use the Service to threaten, stalk, defraud, incite, harass, or advocate the harassment of another person, or otherwise interfere with another user’s use of the Service;
d. Use the Service to submit or transmit spam, chain letters, contests, junk email, pyramid schemes, surveys, or other mass messaging, whether commercial in nature or not;
e. Use the Service in a manner that may create a conflict of interest, such as trading reviews with other business owners or writing or soliciting shill reviews;
f. Use the Service for keyword spamming or to otherwise attempt to manipulate natural search results;
g. Use the Service to promote bigotry or discrimination against protected classes;
h. Use the Service to violate any third-party right, including any breach of confidence, copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right;
i. Use the Service to submit or transmit pornography or illegal content;
j. Use the Service to solicit personal information from minors or to harm or threaten to cause harm to minors;
k. Use the Service in violation of the Terms or any applicable law;
l. Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade, or in any way exploit the Site or Site Content (other than Your Content), except as expressly authorized by Rovernight Network;
m. Reverse engineer any portion of the Site;
n. Remove or modify any copyright, trademark or other proprietary rights notice on the Site or on any materials printed or copied off of the Site;
o. Record, process, or mine information about other users;
p. Use any robot, spider, website search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index the Service or any Service Content;
q. Access, retrieve or index the Site for purposes of constructing or populating a searchable database of business reviews;
r. Reformat or frame any portion of the Site;
s. Take any action that imposes, or may impose in our sole discretion, an unreasonable or disproportionately large load on Rovernight Network's technology infrastructure;
t. Attempt to gain unauthorized access to the Site, user accounts, computer systems or networks connected to the Site through hacking, password mining or any other means; use the Site or any Site Content to transmit any computer viruses, worms, defects, Trojan horses or other items of a destructive nature (collectively, “Viruses”); use any device, software or routine that interferes with the proper working of the Site, or otherwise attempt to interfere with the proper working of the Site; make excessive traffic demands; use the Site to violate the security of any computer network, crack passwords or security encryption codes; disrupt or interfere with the security of, or otherwise cause harm to, the Site or Site Content; remove, circumvent, disable, damage or otherwise interfere with any security-related features of the Site, features that prevent or restrict the use or copying of Site Content, or features that enforce limitations on the use of the Service.
8. Permission to Use Your Content. We may use Your Content in a number of different ways, including displaying it on the Service, reformatting it, incorporating it into advertisements and other works, creating derivative works from it, promoting it, distributing it, and allowing others to do the same in connection with their own website and media platforms (“Other Media”). As such, you hereby irrevocably grant us permission to use Your Content for any purpose. You also irrevocably grant the Service's users and the users of any Other Media the right to access Your Content in connection with their use of the Service and any Other Media. Finally, you irrevocably waive, and cause to be waived, any claims and assertions of moral rights or attribution with respect to Your Content.
10. Use of Content. We may remove or reinstate User Content from time to time at our sole discretion. For example, we may remove a review if we believe it violates our content guidelines. We have no obligation to retain or provide you with copies of Your Content, nor do we guarantee any confidentiality with respect to Your Content. Rovernight Network and its licensees may display advertisements and other information adjacent to or included with Your Content on the Service and Other Media. You are not entitled to any compensation for such advertisements. The manner, mode and extent of such advertising are subject to change without specific notice to you.
11. Suggestions and Improvements. By sending us any ideas, suggestions, documents or proposals (“Feedback”), you agree that (i) your Feedback does not contain the confidential or proprietary information of third parties, (ii) we are under no obligation of confidentiality, express or implied, with respect to the Feedback, (iii) we may have something similar to the Feedback already under consideration or in development, and (iv) you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, publish, distribute and sublicense the Feedback.
12. Trade Marks. All brand, product and service names used in this Service which identify Rovernight Network, or third parties, and their products and services are proprietary marks of Rovernight Network and/or the relevant third parties. Nothing in this Site shall be deemed to confer on any person, any license or right on the part of Rovernight Network, or any third party with respect to any such image, logo or name.
13. External Links. This Site, or relevant third parties, may provide links to other websites or resources. Because Rovernight Network has no control over such websites and resources, you acknowledge and agree that Rovernight Network has no control over and is not responsible for (a) the content and operation of such third party websites or resources, or (b) the privacy or other practices of such third party websites or resources. The fact that the Site directs you to such third party websites or resources does not indicate any approval or endorsement by Rovernight Network of any third party websites or resources. We direct you to such third party websites or resources only as a convenience. You are responsible for the costs associated with such third party websites or resources, including any applicable license fees and service charges. Accordingly, we strongly encourage you to become familiar with the terms of use and practices of any such third party websites or resources.
Other websites may provide links to Rovernight Network with or without our authorization. We do not endorse such websites, and are not and shall not be responsible or liable for any links from those websites to Rovernight Network, any content, advertising, products or other materials available on or through such other websites, or any loss or damages incurred in connection therewith.
YOU AGREE THAT YOUR USE OF THIRD PARTY WEBSITES AND RESOURCES, INCLUDING WITHOUT LIMITATION, YOUR USE OF ANY CONTENT, INFORMATION, DATA, ADVERTISING, PRODUCTS, OR OTHER MATERIALS ON OR AVAILABLE THROUGH SUCH WEBSITES AND RESOURCES, IS AT YOUR OWN RISK AND IS SUBJECT TO THE TERMS AND CONDITIONS OF USE APPLICABLE TO SUCH WEBSITES AND RESOURCES.
We shall have the right, at any time and in our sole discretion, to block links to Rovernight Network through technological or other means without prior notice.
14. Privacy. Rovernight Network has a firm commitment to safeguarding your privacy. Please review Rovernight Network’s Privacy Policy. The terms of Rovernight Network’s Privacy Policy are incorporated into, and form a part of, these Terms.
15. Jurisdictional Considerations. This website is controlled and operated by us from the United States, and is not intended to subject us to the laws or jurisdiction of any state, country or territory other than that of the United States. We do not represent or warrant that the Services, or any part of the Services, are appropriate or available for use in any particular jurisdiction. Those who choose to access the Services do so on their own initiative and at their own risk, and are responsible for complying with all local laws, rules and regulations. We may limit the Services' availability, in whole or in part, to any person, geographic area or jurisdiction we choose, at any time and in our sole discretion.
16. Term & Termination. These Terms shall remain effective until terminated as set forth herein. You agree that Rovernight Network, in its sole discretion, may terminate your account, and remove and discard any content, for any reason, including and without limitation, the lack of use; or, if Rovernight Network believes that you have violated, or acted inconsistently, with the Terms. Rovernight Network may also, in its sole discretion and at any time, discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the service under any provision of these Terms may be effected without prior notice, and acknowledge and agree that Rovernight Network may immediately deactivate, or delete, your content and all related information and files. Rovernight Network reserves the right to bar any further access to such files or the Service. You agree that Rovernight Network shall not be liable to you, or any third-party, for any termination of your access to the Service. Paid accounts that are terminated will not be refunded.
17. Indemnity. YOU AGREE TO INDEMNIFY, DEFEND AND HOLD ROVERNIGHT NETWORK, ITS AFFILIATES, DISTRIBUTORS, PARTNERS, LICENSORS, ADVERTISERS AND SPONSORS, AND OUR AND THEIR DIRECTORS, OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, CONSULTANTS, AGENTS AND OTHER REPRESENTATIVES, HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, COSTS (INCLUDING REASONABLE ATTORNEYS' FEES) AND OTHER EXPENSES THAT ARISE DIRECTLY OR INDIRECTLY OUT OF OR FROM (i) YOUR BREACH OF THESE TERMS; (ii) YOUR CONTENT; (iii) YOUR ACTIVITIES IN CONNECTION WITH THE SERVICE (INCLUDING, WITHOUT LIMITATION, TO YOUR ATTENDANCE AT ANY ROVERNIGHT FUNCTIONS OR ANY INTERACTIONS BETWEEN MEMBERS AND THEIR PETS); (iv) AND/OR THE ACTIONS OF YOUR PETS. YOU ARE SOLELY RESPONSIBLE FOR YOUR ACTIONS AND THE ACTIONS OF YOUR PETS WHEN USING THIS SERVICE.
18. Availability. Rovernight Network reserves the right to modify, suspend, or discontinue the Service, in its sole discretion, at any time, and without notice. You agree that Rovernight Network is not, and will not be, liable to you for any modification, suspension or discontinuance of the Service.
19. Disclaimer of Warranty. THE SERVICE, INCLUDING, BUT NOT LIMITED TO, ALL MATERIALS INCORPORATED THEREIN AND ALL FEATURES AND FUNCTIONALITY OF THE SERVICE, IS PROVIDED "AS IS," "AS AVAILABLE" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, ROVERNIGHT NETWORK AND ITS AFFILIATES, DISTRIBUTORS, PARTNERS, LICENSORS, ADVERTISERS AND SPONSORS, AND OUR AND THEIR DIRECTORS, OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, CONSULTANTS, AGENTS AND OTHER REPRESENTATIVES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE. 20. Limitation of Liability. MEMBERS MUST MAKE NECESSARY SAFETY MEASURES RELATED TO ROVERNIGHT NETWORK MEETINGS, ENGAGEMENTS & COMMUNICATION; YOU WILL BE ENTIRELY ACCOUNTABLE FOR THESE ACTIVITIES. ROVERNIGHT NETWORK IS NOT RESPONSIBLE OR LIABLE FOR THE CONDUCT OF MEMBERS, THEIR PETS, OR THEIR FRIENDS, FAMILY, AND ASSOCIATES NOR FOR ANY INJURY OR DAMAGE CAUSED BY A MEMBER OR A MEMBER’S PET. ROVERNIGHT NETWORK IS NOT LIABLE OR RESPONSIBLE FOR ANY INTERACTION OR COMMUNICATION INITIATED FROM THE WEBSITE. ROVERNIGHT NETWORK IS NOT RESPONSIBLE OR LIABLE FOR HOW AND WHEN MEMBERS DECIDE TO SHARE ANY PERSONAL CONTACT INFORMATION. ROVERNIGHT NETWORK IS NOT LIABLE OR RESPONSIBLE FOR MEMBERS WHO DO NOT HONESTLY REPRESENT THEMSELVES. WHETHER AT A ROVERNIGHT SPONSORED EVENT OR OTHERWISE, ROVERNIGHT NETWORK IS NOT LIABLE OR RESPONSIBLE FOR THE SAFETY OF MEMBERS, THEIR FAMILIES, THEIR ACQUAINTANCES AND THEIR PET. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO STOP USING THE SERVICE. NOTWITHSTANDING THE FOREGOING, TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, AND NOTWITHSTANDING THE EXPRESS, LIMITED REMEDIES PROVIDED HEREIN, THE SOLE, EXCLUSIVE AND MAXIMUM LIABILITY OF ROVERNIGHT NETWORK ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE) OR OTHERWISE, SHALL BE THE AMOUNT PAID, IF ANY, BY YOU TO ROVERNIGHT NETWORK IN CONNECTION WITH THE SERVICE IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY OR (II) US $100.00. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU
21. General Legal Terms. The Terms constitutes the whole legal agreement between you and Rovernight Network and governs your use of the Service, and completely replaces any prior agreements between you and Rovernight Network in relation to the Service. You agree that if Rovernight Network does not exercise, or enforce, any legal right, or remedy, which is contained in the Terms (or which Rovernight Network has the benefit of under any applicable law), this will not be taken to be a formal waiver of Rovernight Network’s rights. Those rights, or remedies, will still be available to Rovernight Network. If any court of law, having the jurisdiction to decide on this matter, rules that any provision of the Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable. The Terms and your relationship with Rovernight Network under the Terms shall be governed by the laws of the State of Illinois without regard to its conflict of laws provisions. You agree to personal jurisdiction by and venue in the state and federal courts in Cook County, Illinois . These Terms are not assignable, transferable or sublicenseable by you except with our prior written consent, but may be assigned or transferred by Rovernight Network without restriction. These Terms may not be modified or amended except as set forth in these Terms. Any heading, caption or section title contained in these Terms is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof. No agency, partnership, joint venture, or employment is created as a result of the Terms, and you do not have any authority of any kind to bind us in any respect whatsoever.
